These terms apply to every quote, proforma invoice and order unless the quote or proforma invoice states otherwise in writing.
1. Prices
Prices are quoted with an Incoterm® 2020 (FCA, FOB, DAP or DDP), a named place and a currency (US dollars unless stated). Quotes are valid for 15 days. Before the deposit is paid, we may adjust prices for major changes in raw-material costs or exchange rates.
2. Quantity
Orders must meet the minimum order quantity and any carton multiples stated. Production tolerance is ±3%; invoices are based on the quantity actually shipped.
3. Payment
Unless agreed otherwise: 30% deposit with the order and 70% balance before shipment. Samples and small first orders are paid in full in advance. Bank charges outside China are for the buyer's account. We only accept payment to the bank account on our official proforma invoice.
4. Lead time
Lead time starts when we have received the deposit and the buyer's approval of the sample or artwork. Chinese public holidays are not included.
5. Samples
Sample cost and lead time are quoted per product. The approved sample is the quality reference for the order.
6. Packing and marking
Goods are packed in standard export cartons unless agreed otherwise. Custom packaging, labels, barcodes and shipping marks are made to the buyer's approved specification.
7. Quality and inspection
Goods are inspected before shipment against the approved sample. The buyer may appoint its own or a third-party inspector at its own cost.
8. Claims
Claims must be made in writing within 15 days of the goods' arrival, with photos or video and, for larger claims, an inspection report. Valid claims are settled by replacement or credit note. No claims are accepted for goods that have been altered, processed or resold.
9. Title and risk
Risk passes as defined by the agreed Incoterm. Ownership passes to the buyer on full payment.
10. Storage
Goods that are ready but not collected or paid for may incur storage fees after the free period stated in the quote. Demurrage and detention at destination are for the buyer's account under FCA, FOB and DAP.
11. Cancellation
The deposit is not refundable once materials have been purchased or production has started.
12. Intellectual property
The buyer guarantees that it holds the rights to any logos, designs and artwork it supplies. Ownership of custom moulds and tooling is agreed in writing.
13. Compliance
The buyer is responsible for import rules, labelling and certification in the destination country unless agreed otherwise in writing. We do not ship to sanctioned or restricted destinations.
14. Force majeure
Neither party is liable for delays caused by events beyond its reasonable control, including natural disasters, epidemics, port closures and government actions.
